Welcome to B.I.A Supply Co.

The terms “we”, “us” and “our” refer to B.I.A Supply Co. B.I.A Supply Co. operates this website and online store, including the information, content, features, tools, products and services made available through it (the “Services”).

Our store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service, together with any policies referenced in them, set out the terms that apply when you access or use our Services or purchase products from us.

By accessing, browsing or using our Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree with these Terms, you should not use the Services.

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993 or other applicable consumer protection laws.

SECTION 1 — ACCESS AND ACCOUNTS

By using the Services, you represent that you are legally capable of entering into a binding agreement in your jurisdiction.

When using our Services or placing an order, you may be asked to provide information including your name, email address, billing information, payment information and shipping address.

You agree that the information you provide is accurate, current and complete.

If you create an account, you are responsible for maintaining the confidentiality and security of your login credentials and for activity conducted through your account.

You must not transfer, sell or assign your account to another person without our permission.

SECTION 2 — OUR PRODUCTS

We make reasonable efforts to display and describe our products accurately.

Colours, textures, proportions and other visual characteristics may appear differently depending on your device, display settings, lighting or photography.

Product descriptions, availability, specifications and designs may be updated or changed from time to time before an order is placed.

We reserve the right to discontinue products or limit quantities where reasonably necessary.

Nothing in this section limits any rights you may have under applicable consumer law, including consumer guarantees relating to acceptable quality, fitness for purpose and correspondence with descriptions.

SECTION 3 — ORDERS

When you submit an order, you are making an offer to purchase the products listed in that order.

An order is accepted when we confirm acceptance and payment has been successfully processed.

Most B.I.A Supply Co. products are made to order. Production can begin immediately after an order is placed.

Please review your products, sizes, colours, delivery address and other order details carefully before completing checkout. We do not accept customer-requested changes or cancellations once an order has been placed.

We may refuse or cancel all or part of an order where reasonably necessary, including where:

• a product is unavailable;
• there is an obvious pricing or listing error;
• payment cannot be processed;
• we reasonably suspect fraud or unauthorised activity;
• the order breaches these Terms; or
• we are unable to lawfully fulfil the order.

If we cancel all or part of an order after payment has been received, we will refund the amount paid for the cancelled portion.

Returns, refunds and remedies are handled in accordance with our Refund Policy and your rights under applicable consumer law.

Products purchased through our store are intended for personal or household use unless otherwise agreed.

SECTION 4 — PRICES AND BILLING

Prices, discounts and promotions may change from time to time before an order is placed.

The price charged for an order will be the price displayed when the order is submitted, subject to the correction of obvious errors.

Any applicable shipping charges, taxes or other charges will be shown during checkout where required.

For international orders, customs duties, import taxes or similar charges imposed by the destination country may apply and may be payable by the customer unless otherwise stated.

You agree to provide accurate and current payment and account information when placing an order.

You represent that you are authorised to use the payment method supplied.

SECTION 5 — SHIPPING AND DELIVERY

Delivery timeframes provided through our website are estimates unless expressly stated otherwise.

Delays may occasionally occur due to production, carriers, customs, weather, peak periods or other circumstances outside our reasonable control.

We will take reasonable steps to ensure orders are produced, dispatched and delivered within the timeframe communicated to you or, where no timeframe is specified, within a reasonable time.

Products in the same order may be produced or fulfilled separately and may arrive in different packages.

You are responsible for checking that the delivery address supplied at checkout is accurate and complete. Our handling of incorrect addresses is explained on our Shipping & Returns page.

If an order is lost, significantly delayed or otherwise not delivered as required, please contact us so we can investigate and provide any remedy required under applicable law.

SECTION 6 — INTELLECTUAL PROPERTY

Unless otherwise stated, the content made available through the Services, including artwork, graphics, logos, photographs, product designs, text, video, audio, branding and website content, is owned by or licensed to B.I.A Supply Co. and is protected by applicable intellectual property laws.

The Services are provided for personal, non-commercial use.

You must not reproduce, distribute, modify, publish, sell, commercially exploit or create derivative works from our content without our prior written permission, except where permitted by law.

The names, logos, artwork, designs and branding associated with B.I.A Supply Co. must not be used in a manner that suggests affiliation, endorsement or ownership without our written permission.

Third-party trademarks and intellectual property remain the property of their respective owners.

SECTION 7 — OPTIONAL THIRD-PARTY TOOLS

We may provide access to tools or services supplied by third parties.

Those tools may be subject to separate terms and privacy policies imposed by the relevant provider.

We do not control third-party tools and are not responsible for them except to the extent required by law.

Your use of optional third-party tools is at your discretion and subject to the terms that apply to those services.

SECTION 8 — THIRD-PARTY LINKS

Our Services may contain links to websites, services or content operated by third parties.

We are not responsible for the content, accuracy, availability or practices of third-party websites.

If you access or purchase products or services from a third party, that transaction is subject to the terms and policies of that third party.

Nothing in this section excludes liability that cannot legally be excluded.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

B.I.A Supply Co. is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our store are made directly with B.I.A Supply Co.

By using the Services, you acknowledge that Shopify is not the seller of products purchased from B.I.A Supply Co. and is not responsible for fulfilling those orders.

To the extent permitted by law, you release Shopify and its affiliates from claims, damages and liabilities arising from or related to purchases and transactions made directly with B.I.A Supply Co.

SECTION 10 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Because our store is hosted by Shopify, Shopify may collect and process personal information relating to your access to and use of the Services in order to provide its platform and related services.

Information may also be processed by service providers located outside Australia or New Zealand where necessary to provide our Services.

SECTION 11 — FEEDBACK AND REVIEWS

If you submit reviews, feedback, photographs, suggestions or other content to us, you confirm that you have the right to provide that content.

You retain ownership of content you submit. You grant B.I.A Supply Co. a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish and display that content for purposes connected with operating, marketing and improving our business and Services.

You must not submit content that:

• infringes another person’s intellectual property or privacy rights;
• is unlawful, defamatory or misleading;
• contains malicious software or harmful code; or
• falsely represents your identity or relationship with another person or organisation.

We may remove content where reasonably necessary, including where it breaches these Terms or applicable law.

SECTION 12 — ERRORS AND INACCURACIES

Occasionally, information on the Services may contain typographical errors, inaccuracies or omissions relating to products, descriptions, pricing, promotions, shipping, availability or other information.

We may correct errors and update information when reasonably necessary.

If an error affects an order you have already placed, we will contact you where appropriate and provide any refund or other remedy required by law.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to:

• engage in unlawful or fraudulent activity;
• infringe intellectual property or other legal rights;
• harass, threaten or unlawfully harm another person;
• distribute malware or harmful code;

You may stop using the Services at any time.

We may suspend or terminate access to the Services where reasonably necessary, including where these Terms have been breached, fraud or unlawful activity is suspected, or continued access could create security or operational risks.

Any provisions that by their nature are intended to continue after termination will remain effective.

SECTION 16 — WARRANTIES AND CONSUMER GUARANTEES

To the maximum extent permitted by law, we do not guarantee that access to our website will always be uninterrupted, secure or error-free.

Information provided through the Services is provided for general informational purposes.

Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, condition, right or remedy that cannot lawfully be excluded, including consumer guarantees under the Australian Consumer Law and the New Zealand Consumer Guarantees Act 1993.

Our goods come with guarantees that cannot be excluded under applicable consumer law.

SECTION 17 — LIMITATION OF LIABILITY

To the maximum extent permitted by law, B.I.A Supply Co. is not liable for indirect, incidental or consequential loss arising from your use of the Services where such liability may lawfully be excluded.

Nothing in these Terms excludes, restricts or modifies liability, rights or remedies where doing so would be unlawful.

In particular, nothing in these Terms limits rights or remedies available under the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993 or other applicable consumer protection laws that cannot legally be excluded.

SECTION 18 — INDEMNITY

You agree to indemnify B.I.A Supply Co. against reasonable losses, liabilities or claims arising directly from:

• your unlawful use of the Services;
• your material breach of these Terms; or
• your infringement of another person’s legal rights.

This indemnity does not apply to the extent that a loss was caused by B.I.A Supply Co.’s own wrongful conduct or where liability cannot lawfully be excluded.

SECTION 19 — SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary.

The remaining provisions will continue in effect.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

These Terms, together with the policies incorporated by reference, form the agreement between you and B.I.A Supply Co. regarding your use of the Services.

Nothing in this section excludes representations or rights that cannot legally be excluded.

SECTION 21 — ASSIGNMENT

You must not assign your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights or obligations where reasonably necessary in connection with the operation, restructuring or transfer of our business, subject to applicable law.

SECTION 22 — GOVERNING LAW

These Terms are governed by the laws of Australia and the laws of the Australian state or territory in which B.I.A Supply Co. is based.

Nothing in this section limits any mandatory rights or remedies available to you under the laws that apply where you live, including applicable New Zealand consumer protection laws.

SECTION 23 — HEADINGS

Section headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms from time to time.

The current version and its effective date will be published on this page.

Where required by law, we will provide notice of material changes.

Changes will apply from the date stated in the updated Terms and will not remove rights that have already accrued under applicable law.
